Please read these Terms and Conditions carefully before purchasing, installing, or interacting with the services hosted across troyee.net, troyee.com, troyeebd.com, and the Troyee Software application ecosystem.

1. Legal Binding Agreement

By downloading, executing, activating, or using Troyee Software or navigating our Websites, you enter into a legally binding agreement with Best Business Bond Ltd. (3BL). If you do not consent to these terms, you are prohibited from installing the software or accessing our digital assets.

2. Intellectual Property and Ownership Absolute

2.1 Exclusive Rights of 3BL

Troyee Software—including all architectural code, algorithms, user interfaces, branding trademarks, databases, graphics, customized add-ons, and module frameworks—is the sole and exclusive intellectual property of Best Business Bond Ltd. (3BL). All rights are reserved to 3BL. This product is protected under the Bangladesh Trademark laws.

2.2 Distributor/Seller Status Clarification

Third-party entities, Business Associates/Partners listed in the websites, are authorized resellers and distributors only.

  • They possess a strictly limited right to market and resell valid software licenses.
  • They do not own, manage, modify, reverse-engineer, or hold any proprietary stake in Troyee Software or its underlying codebase.
  • No actions, agreements, or commitments made by the resellers can supersede, amend, or alter the ownership rights and terms established exclusively by 3BL.

3. End-User License Agreement (EULA)

Subject to full payment and compliance with these Terms, 3BL grants you a non-exclusive, non-transferable, revocable license to utilize Troyee Software according to your purchased license tier (e.g., Standard, Enterprise or Premium Solutions, VAT Management Software, ERP packages etc.).

Prohibited Uses:
Under this license, you explicitly agree that you will not, nor allow others to:

  • Reverse-engineer, decompile, or attempt to extract the source code of Troyee Software.
  • Bypass, modify, or disable the license validation and automated database backup protocols.
  • Redistribute, rent, sub-license, or share single-user license configurations across multiple unauthorized business entities or unauthorized server nodes.

4. Payments, Implementation, and Renewals

  • Authorized Purchases: Valid licenses must be obtained directly from 3BL or verified channels. 3BL is not responsible for fraudulent license keys procured through unlisted black-market channels.
  • Services Provided: Implementation, user training, and customized add-ons are structured under separate service-level agreements (SLAs).

5. Limitation of Liability

To the maximum scale permitted under Bangladeshi regulation, 3BL shall not be held liable for any financial losses, corrupted company files, data entry discrepancies, or business interruptions stemming from:

  1. User error or negligent IT administration by the client’s internal staff.
  2. Hardware failures, server outages, or third-party operating system conflicts (e.g., Windows/Linux server errors).
  3. Unauthorized modifications executed on database tables outside of the Troyee Software user interface.

6. Termination of License

3BL retains the absolute right to suspend or entirely terminate your access keys and software functionalities without prior notification if:

  • Evidence emerges of software piracy, key sharing, or reverse-engineering efforts.
  • Subscription fees, license renewals, or implementation costs remain unpaid beyond the designated grace period.

7. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by, interpreted, and enforced strictly in accordance with the laws of the People’s Republic of Bangladesh. Any legal actions, conflicts, or disputes arising from these terms or the deployment of Troyee Software must be submitted to the exclusive jurisdiction of the competent courts in Dhaka, Bangladesh.
